1. These Terms

1.1             These are the terms and conditions on which you are permitted to use the Networking Services provided on our Website.

1.2             In these terms and conditions:  


means the account you open when you register on the Website



means a person who wishes to procure Freelancer Services through the Website and has an active Account



means a person who wishes to offer Freelancer Services through the Website and has an active Account


"Freelancer Services" 

means all services offered by Freelancers via the Website


"Inactive Account"

means a User Account that has not been logged into for a continuous 6 month period


"Membership Fee"

means the membership fees payable as set out at http://www.network-freelance.co.uk/FAQS   


"Network Freelance""we""our", or "us" 


means Network Freelance Limited


means a piece of work posted on a Client Account for which a Client requires Freelancer Services


"Project Fee"

means the fee (inclusive of VAT) as detailed in a Project description and payable by a Client to a Freelancer upon satisfactory delivery of Freelancer Services under a Project Contract


"Transpact Arrangement"


means the escrow payment service "Transpact" operated by Transpact



means Transpact, the trading name of Anpa Forward Ltd, a UK private limited company registered at Companies House with company number 06226243


"Transpact Terms and Conditions"

means the terms and conditions applicable to a Transpact Arrangement available at [INSERT]



means any person wishing to set up an Account


"Project  Contract" 

means the legally binding contract entered into by a Client and Freelancer for the provision of the Freelancer Services in connection with a Project


"Projects Comment Board"


means the projects message board where you can search for Projects and Freelancers and Clients can communicate via a public message board


"Project Message Board"


means a private message board that will be accessible by a Client and Freelancer to communicate in relation to a specific Project Contract


means the website operated by Network Freelance and available at www.network-freelance.co.uk


 "you" or "your" 

means a Freelancer or Client who has an active Account


2. Overview

2.1             The Website is an online venue where Clients and Freelancers can be introduced to one another with a view to entering into Project Contracts. Users who wish to be a Freelancer or Client must register for an Account in order to buy or sell Freelancer Services via the Website (the "Networking Services").

2.2             We may amend these terms and conditions at any time by posting amended terms on the Website.

3. User Account

3.1             By accessing and/or using the Website, Users agree to these terms and conditions, together with our Terms of Website Use.

3.2             In order to make use of the Networking Services, Users must register for an Account by following the registration process at here.

3.3             In order to set up an Account, Users are required to provide their:-

3.3.1         First Name;

3.3.2         Last Name;

3.3.3         Business or Company name (if any);

3.3.4         Email address; and

3.3.5         Profile information.

3.4             In order to set up an Account Users must:-

3.4.1         be over the age of 16;

3.4.2         have capacity to enter into Project Contracts;

3.4.3         agree to pay the relevant Membership Fee (if and when it becomes due); and

3.4.4         not be suspended from using the Website. 

3.5             Each account will be a personal account but Users may provide a business name or a company name which is to be associated with the User's Account.  

3.6             Upon request, Users must provide further information and/or documentation to enable us to verify their identity

3.7             An email will be sent as confirmation that the registration process is complete and the Account has been activated.

3.8             We may, at our absolute discretion:

3.8.1         refuse to register an Account; or

3.8.2         close, suspend, or limit access to your Account and the Website.

4. Responsibility for Account

4.1             You remain solely responsible for all activity undertaken in respect of your Account and you can only register for one Account. 

4.2             You are under an obligation to ensure that your Account contains accurate and complete information at all times.

5. Membership Fees

5.1             Each Client can log one (1) Project free of charge and each Freelancer can apply for up to four (4) Projects free of charge.

5.2             If a Client wishes to log a second Project they will need to pay a membership fee, details of membership options are set out at http://www.network-freelance.co.uk/FAQS.

5.3             If a Freelancer wishes to apply for a fifth Project they will need to pay a membership fee, details of membership options as set out at http://www.network-freelance.co.uk/FAQS.  

5.4             Unless otherwise stated, all Membership Fees are quoted and payable in British Pounds Sterling and payments must be made via PayPal in accordance with the instructions provided on your Account.

6. User Services

6.1             Once an Account has been activated, Clients will be able to post details of Projects and Clients and Freelancers will be able to communicate with each other via the Projects Comment Board. All posts on the Projects Comment Board are public. 

6.2             Unless you have a prior relationship with a User, you must only communicate with other Clients or Freelancers via the Website, including by using the Projects Comment Board and relevant Project Message Board. Unless we provide a contact information through a feature or function available through the Website, you must not, and must not attempt to, communicate with the other party otherwise than through the Website.   

7. Project Contract

7.1             Once a Client awards a Project to a Freelancer and the Freelancer accepts a Project on the Website, the Client and Freelancer will be required to enter into a Transpact Arrangement in respect of the Project Fee.

7.2             Once a Transpact Arrangement has been sent up in respect of a Project (and confirmation received by Network Freelance) the Client and Freelancer will have entered into a Project Contract under which the Client agrees to purchase, and the Freelancer agrees to provide the Freelancer Services.

7.3             The Project Contract is a direct service contract between the Client and Freelancer governed by English Law. Network Freelance is not a party to the Project Contract

7.4             The parties to a Project Contract will be able to communicate via an Project Message Board.

7.5             The parties to the Project Contract will be the Client and Freelancer as named on their respective Accounts. 

7.6             By entering into a Project Contract each party warrants and undertakes to the other party that:-

7.6.1         it has full capacity and authority to enter into an perform its obligations under the Project Contract;

7.6.2         it shall co-operate with the other party in relation to the Project;

7.6.3         it shall comply with the terms of the Transpact Terms and Conditions;

7.6.4         it shall comply with all applicable laws, rules and regulations applicable to Project Contract; and

7.6.5         it shall be responsible for payment of any taxes due and payable in connection with the Project Contract.

7.6.6         The Client undertakes and agrees to:-

(a)              provide the Freelancer with the necessary information to allow it to perform the Services via the Website;

(b)              pay the Project Fee to Transpact to be held in escrow in accordance with the Transpact Terms and Conditions;

7.6.7         The Freelancer undertakes and agrees to:-

(a)              provide the services to a standard in accordance with the level of expertise as represented by the Freelancer on its Account; and

(b)              deliver the services in accordance with any timescales or milestones agreed with the Client.

7.7             The Client shall have the right to reasonably withold a proportion of the Project Fee in the event that the services under a Project Contract have not been delivered in full or otherwise in accordance with the terms of the Project Contract.

8. Payment OF Project Fees

8.1             All Project Fees are to be paid via Transpact under a Transpact Arrangement, please refer to the Transpact Terms and Conditions.

9. Network Freelance Commission

9.1             Network Freelance will receive a commission direct from Transpact in respect of each Project Contract at the rate set out at http://www.network-freelance.co.uk/FAQS.

10. Feedback, Reputation and Reviews

10.1           Following completion of a Project Contract Clients will have the opportunity to give a star rating in respect of the services provided by a Freelancer, the star rating will appear a Freelancer's public profile on the Website.

11. Disputes

11.1           If the other party breaches any obligation to you under a Project Contract, you are solely responsible for enforcing any rights that you may have. For the avoidance of doubt, we have no responsibility for enforcing any rights under a Project Contract.

11.2           You acknowledge and agree that in the event that a dispute arises in relation to any Project Contract you will first attempt to resolve such dispute by entering into good faith negotiations with the other party via the Project Message Board. 

11.3           If you continue to have any difficulties or problems in relation to a dispute under a Project Contract we encourage you to contact us in writing at support@network-freelance.co.uk following which we will (at our sole discretion) contact the other party to seek to resolve the dispute.

11.4           Any dispute related to a payment of Project Fees must be dealt with in accordance with the Transpact Terms and Conditions.

12. Liability

12.1           Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12.2           Our total liability to you, whether in contract, tort (including negligence) breach of statutory duty, or otherwise, arising under or in connection with your use of the Website shall be limited to 100% of the Membership Fee paid to us during the 12 months immediately prior to the claim.

12.3           You shall indemnify us, our related entities, our affiliates or staff in full against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss or reputation and all interest, penalties and legal costs (calculated on a  full indemnity basis) and all other professional costs and expenses suffered or incurred by us, our related entitles, our affiliates or staff arising out of or in connection with your use of the Website.

13. Closing Your Account

13.1           You may close your Account at any time by emailing us at support@Network-Freelance.co.uk. Requests for closing an account will be subject to you satisfactorily performing your obligations under any Project Contract.

13.2           Inactive Accounts

13.3           We reserve the right to close an Inactive Account.

14. Disputes with Us

14.1           If a dispute arises between you and Network Freelance in connection with the Networking Services provided on the Website, our goal is to address your concerns and, if we are unable to do so to your satisfaction, to provide you with a means of resolving the dispute quickly. We strongly encourage you first to contact us directly to seek a resolution by using our support email at support@network-freelance.co.uk.

14.2           These terms and conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation are governed by English law. Network Freelance and you agree to the exclusive jurisdiction of the courts of England and Wales.

15. WorldPay

15.1           We use WorldPay for collecting our membership fee's. Our Fee's are listed on the Sign-Up page and range from monthly, 6 monthly or yearly. We only accept British Pounds (sterling) as currency.

16. Refund Policy

16.1           We do not issue refunds for membership packages where payment is set to monthly debit.

16.2           We do offer refunds for membership fee's should you purchase a 6 monthly or yearly package as long as the request is made within 3 working days of the original purchase. We recommend contacting us for assistance if you experience any issues or are not happy with the agreement level you have chosen.
